for the COPA-DATA Web Shop
These Terms of Service (TOS) apply to all contracts concluded between you as a customer and "COPA-DATA" as the operator of the COPA-DATA Web Shop. Through our Web Shop only software may be purchased. In order to be able to purchase products in our Web Shop, these TOS must be accepted by the customer. COPA-DATA reserves the right to change the content of these TOS at any time for contracts concluded in the future.
About the zenon Engineering Store
The zenon Engineering Store is the official B2B COPA-DATA platform designed to provide engineers, system integrators, and automation professionals with digital assets based on zenon that support and accelerate the engineering process. The store offers a curated selection of Smart Object Templates (SOTs), UI components, demo projects, and other resources aimed at improving efficiency, optimizing workflows, and inspiring innovation within automation projects.
Products available in the store may be free or paid, and they are provided as downloadable digital content. All purchases and downloads are subject to the store’s Terms of Service, including applicable licensing agreements, usage limitations, and disclaimers regarding support and liability.
Conclusion of the contract
- The product presentation in the Web Shop does not constitute a binding sales offer. The offer to conclude a purchase contract is made by the customer by clicking the "Complete Order" button and thereby completing the order process.
- Upon receipt of the order, an automatically generated email will confirm the receipt of customer´s offer. The acceptance of the offer by COPA-DATA takes place either by sending the invoice or by dispatching the ordered goods. This also applies if the customer has already paid or instructed payment of the purchase price due to the chosen payment method before the contract is concluded. If we are unable to accept customer´s order due to a lack of product availability or if the contract cannot be concluded for other reasons, COPA-DATA will promptly refund any prepayment made.
- If the order includes multiple items, the contract is only concluded for those items explicitly listed in the shipping confirmation.
- The right to return purchased products is excluded. The statutory right of withdrawal for consumers (see below, Section 15 "Right of Withdrawal") remains unaffected by these provisions.
- Customer may only purchase 1 (one) product of a kind (unique product number) per order.
Prices, Payment and Shipping
- Prices listed in the Web Shop are stated in Euros. The prices include statutory VAT and all other price components.
- The available shipping option for purchasable items is download only. Shipping of purchased software on data carriers is not available.
- Unless complete delivery has been agreed upon, COPA-DATA shall have the right to make partial deliveries.
- After order and confirmed payment COPA-DATA will provide a unique download link for the purchased software at the check-out as well as per e-mail. In case the ordered product is a license, such license will be provided with a link at the check-out or as a pdf-file via e-mail.
- Please contact us at ecommerce@copadata.com if a download link or license is broken or does not work properly. We will promptly investigate the problem and provide a replacement product.
- The goods are shipped immediately after confirmed payment from the COPA-DATA Headquarters at 5020 Salzburg, Karolingerstraße 7B, which is also the place of fulfillment of the contract.
- Delays in shipment may occur due to technical problems and do not entitle the customer to a return if the delivery is made within 24 hours. In order to reserve the right for return customer shall inform COPA-DATA about any delay that exceeds 24 hours immediately.
- Payment of the purchase price, including any shipping costs, is made by the available payment methods, which will be shown at check-out. Payment processing is handled by Shopify Payments a service provided by Shopify Inc. For payment processing purposes, COPA-DATA may share the necessary personal data with the service provider.
- In case of shipments before payment receival whether by mistake or following a special agreement the ordered goods remain the property of COPA-DATA until full payment is received. This applies particularly in cases where electronic payment transactions are disrupted or misled. Ownership of the goods transfers to the customer upon payment and download by the customer.
- Offsetting the purchase price against claims from other transactions with COPA-DATA or its affiliated companies is excluded.
Warranty, Restriction of Liability and Release from Liability
- Upon receipt of goods, the Customer is obligated to examine them for any defects without delay and to notify COPA-DATA by registered letter of any defects immediately – i.e. within 7 days of delivery. Complaints in respect of hidden defects have to be lodged with COPA-DATA by registered mail not later than 7 days after discovery. Failing to do that shall result in loss of all warranty rights. Oral complaints shall be ineffective.
- If defects are not reported in due course or in the agreed manner, or if arbitrary interference to the goods is made, a potential liability of the COPA-DATA will be excluded. The Customer shall not be entitled to assert any warranty claims or other claims resulting from a purported defect.
- The Customer is obligated to make the disapproved goods available to COPA-DATA at his cost; failing to do that shall result in loss of any warranty claims. Any costs in connection with transport out and back for the purpose of removal of defects shall be borne by the Customer. If it becomes apparent that no defect exists, respectively that the complaint in respect of a defect was unjustified, the Customer shall also bear any other costs that may have accrued. COPA-DATA shall also have the right to charge the Customer a reasonable compensation for the examination of the goods.
- The warranty period for all contractual deliveries and services shall be 1 year from delivery of goods, respectively performance of services.
- Instead of recognizing Customer’s claim for rescission of contract or reduction of payment, COPA-DATA shall have the right to make a substitute delivery.
- Defects of partial deliveries shall not give the Customer the right to cancel the entire order or other orders.
- On account of services and deliveries subject to warranty, the original warranty period for that part of the delivery that is not affected shall not be extended.
- Warranty can only be claimed on the condition that Customer has fully met all contractual obligations, including payment of supplementary fees.
- Outside the scope of application of the Product Liability Act, COPA-DATA’s liability shall be restricted to intent and/or gross negligence. Liability for slight negligence, compensation for consequential damage, economic and financial loss, savings not realized, interest loss and damage from claims of third parties against the COPA-DATA shall be excluded.
- In the case of software, COPA-DATA gives no guarantee as to the saleability and usability for certain purposes. COPA-DATA assumes no liability for replacements in case of permanent or consequential damage in connection with the application of a software program. The Customer himself shall be liable for data security. It is pointed out expressly to the Customer that, according to the current state of technical development, defects in software programs cannot be ruled out completely. COPA-DATA ensures neither certain qualities of the software program nor its fitness for the Customer’s purposes or requirements. COPA-DATA reserves the right to alter the software for reasons of continuous further development. Moreover, software that has been modified by the Customer shall be excluded from any warranty.
Free-of-charge products
- COPA-DATA may offer in the Web Shop free-of-charge products with a pricing of 0 (zero) Euro. No payment is required for such items, but such products are still subject to the standard order process.
- Free-of-charge products are provided without any support or warranty. COPA-DATA excludes any liability for function as well as for any and all damages resulting out of the use of such free-of-charge products, as far as legally possible under applicable law.
Copyright and Right of Use
Through delivery and payment of the software, no ownership of the software, but only the right of use is acquired. The software remains the property of the author, respectively of the COPA-DATA. The software may only be used according to the conditions of use on the product page respectively the license terms provided together with the product. No reproductions (copies) of the software must be made, with the exception of reproductions (copies) that serve the purpose of data security. The person acquiring the right of use, respectively the Customer, undertakes not to pass on the software to third parties, nor to make the programs available to them in any other form. Exclusive licenses for the programs must not be transferred to others without the COPA-DATA’s consent. The same provisions relating to reproductions (copies) and transmittal shall apply to software handbooks and other documents.
Consumer Rights
Our Web Shop services are only available to business clients; private individuals are excluded. Therefore, the statutory right to withdraw from any purchase is also excluded.
Data Privacy
- Our Web Shop is GDPR compliant. The Customer gives his express consent that the data (name, address, e-mail, credit card details, data for account transfers) disclosed to the Contractor can be ascertained, stored and processed automation-assisted for the purposes of contract fulfilment and service to the Customer, as well as for the Contractor’s own advertising activities. The Customer is entitled to revoke his consent in writing at any time.
- Subject to the anytime possible, written revocation by the Customer, COPA-DATA shall be entitled to mention his business relation to the Customer with name and company logo on its own advertising media, in particular on its Internet website.

Final Provisions
- Austrian law exclusively applies to the contractual relationship, excluding international uniform law, particularly the UN Convention on Contracts for the International Sale of Goods.
- The place of jurisdiction is Salzburg unless otherwise legally required.
- If any provision of these TOS is wholly or partially invalid, the validity of the remaining provisions remains unaffected. An invalid provision will be replaced by one that closely reflects its intended economic purpose.
